- Scope of Application
These General Terms and Conditions (GTC) apply to all contracts, services, and offers provided by DigitalPulse Consulting GmbH (hereinafter “DPC”) in the fields of digital marketing and quality assurance. They apply to both domestic and international clients. Any differing terms of the client are only valid if expressly accepted in writing by DPC.
- Services
DPC provides consulting and implementation services in the following areas:
- Strategic marketing consulting
- Campaign planning
- Content creation
- Performance marketing
- SEO, web development, and hosting
- Documentation and operational support in quality management
- Regulatory compliance (GxP, ISO)
- Audit preparation and QMS support
The nature, scope, and timeframe of the services are defined in the respective offer or written project agreement. Changes are valid only if mutually agreed upon in writing.
- Conclusion of Contract
A contract is concluded through written confirmation (including by email) of an offer or by the client’s use of DPC’s services.
- Client’s Duty to Cooperate
The client agrees to provide all necessary information, materials, and access required to carry out the project in a timely and complete manner. Delays caused by lack of cooperation are not the responsibility of DPC.
- Compensation and Payment Terms
Compensation is based on the offer—either as an hourly fee, flat rate, or retainer model. All prices are exclusive of VAT.
Invoices are payable within 30 days from the invoice date without deduction. In case of payment delay, DPC may charge interest on arrears (5% p.a.) and dunning fees and may suspend services until payment is received.
For international clients, invoices will be issued in CHF; any transfer fees are the responsibility of the client.
- Cancellation and Rescheduling
Project-related services can be canceled free of charge up to 10 business days before the agreed start date.
For cancellations within 10 business days, 50% of the agreed compensation is due; within fewer than 5 business days, 100%.
Rescheduling must be announced at least 5 business days in advance. Short-notice changes entitle DPC to charge for downtime.
- Confidentiality
Both parties agree to treat all non-public information confidentially. This obligation remains in effect beyond the duration of the contract.
- Copyright and Usage Rights
All concepts, strategies, analyses, texts, designs, processes, and documentation created by DPC remain the property of DPC until full payment is received. Upon full payment, the client receives a non-exclusive, non-transferable right to use the work for the agreed purpose.
- Warranty and Liability
DPC commits to providing services with due care and professional accuracy. No guarantee is given for specific business outcomes.
Liability for direct damages due to gross negligence or intent remains. Any further liability—particularly for indirect or consequential damages—is excluded.
- Contract Duration and Termination
Ongoing contracts (e.g., retainers) can be terminated in writing with 30 days’ notice to the end of a month.
Project contracts end upon completion of the agreed services. Any services already rendered must be paid for in all cases.
- Severability Clause
If any provision of these GTC is or becomes invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a legally permissible one that comes closest to the intended economic purpose.
- Applicable Law and Jurisdiction
Swiss law exclusively applies.
The place of jurisdiction is Cham (Canton of Zug), Switzerland.
For international clients, Swiss jurisdiction is agreed upon.
